Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Truffaire Private Limited("Truffaire", "we", "our", or "us"), governing your access to and use of the ARCORAagricultural intelligence platform ("Service") at arcora.truffaire.in. By creating an account, purchasing credits, or using any part of the Service, you agree to these Terms in full. If you do not agree, you must not use the Service.

IMPORTANT — PLEASE READ CAREFULLY: These Terms contain a limitation of liability clause (Section 12), an indemnification clause (Section 13), a disclaimer of professional advice (Section 5), and a no-refund policy (Section 8). These provisions materially affect your legal rights.

1. Acceptance of Terms

By accessing or using ARCORA, you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872; (c) if accessing the Service on behalf of an organisation (such as an FPO, cooperative, or institution), you have authority to bind that organisation to these Terms; and (d) your use of the Service does not violate any applicable law or regulation.

We may update these Terms from time to time. Continued use of the Service after updated Terms are posted constitutes acceptance of the revised Terms. We will notify registered users of material changes by email where reasonably practicable.

2. Description of Service

ARCORA is an AI-assisted agricultural intelligence platform that provides:

  • Automated crop disease diagnosis and health assessment using computer vision and large language models
  • Structured diagnostic reports including disease identification, severity assessment, and treatment recommendations
  • Historical report storage and retrieval through a user dashboard
  • Credit-based access to diagnostic scans under subscription plans (Scout, Cooperative, Alliance, Enterprise)

The Service is provided as a software-as-a-service ("SaaS") platform. Truffaire reserves the right to modify, suspend, or discontinue any feature or the Service in whole or in part, at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Registration

You must register for an account to access diagnostic features. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Organisational Accounts

FPOs, cooperatives, and institutions using the Cooperative, Alliance, or Enterprise plan must designate an authorised representative who accepts these Terms on behalf of the organisation. The organisation is jointly and severally liable for all use of the Service under that account.

3.3 Account Security

You must immediately notify us at one@truffaire.in if you suspect unauthorised access to your account. Truffaire is not liable for any loss or damage arising from unauthorised account access where you have failed to maintain reasonable credential security or to promptly notify us of a suspected breach.

4. Acceptable Use

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse-engineer, decompile, disassemble, or extract the source code, algorithms, or AI models underlying the Service
  • Scrape, crawl, or systematically extract data from the platform using automated means
  • Upload images that contain personal data of individuals without their consent, obscene content, or material that infringes third-party intellectual property rights
  • Attempt to circumvent credit limits, payment obligations, or access controls
  • Use the Service to develop competing products or services
  • Impersonate any person or entity or misrepresent your affiliation with any organisation
  • Introduce malware, viruses, or any code designed to harm the platform or its users
  • Resell or sublicense access to the Service without express written permission from Truffaire

Truffaire reserves the right to suspend or terminate accounts that violate these acceptable use provisions, without notice and without refund of unused credits.

5. AI Diagnosis — Critical Disclaimer

ARCORA IS AN AI-ASSISTED INFORMATIONAL TOOL ONLY. OUTPUTS ARE NOT PROFESSIONAL AGRONOMIC ADVICE, CERTIFIED DIAGNOSIS, OR A SUBSTITUTE FOR CONSULTATION WITH A QUALIFIED AGRONOMIST, PLANT PATHOLOGIST, OR AGRICULTURAL EXTENSION OFFICER.

The diagnostic outputs generated by ARCORA, including disease identifications, severity assessments, treatment recommendations, and economic impact estimates, are produced by artificial intelligence systems and are inherently probabilistic. They may be incomplete, inaccurate, or inapplicable to your specific farm conditions.

You expressly acknowledge and agree that:

  • ARCORA diagnoses are for informational and decision-support purposes only and do not constitute certified agronomic advice
  • You must independently verify any diagnosis and treatment recommendation with a qualified agronomist before applying chemicals, making crop management decisions, or taking any action that could affect your crop, soil, or livelihood
  • You bear sole and exclusive responsibility for all crop management decisions made in reliance on or informed by ARCORA outputs
  • Truffaire makes no warranty that ARCORA diagnoses are accurate, complete, current, or fit for any particular farm condition, crop variety, soil type, or geographic region
  • Agricultural outcomes depend on numerous factors beyond the scope of the Service, including weather, soil microbiome, pest pressure, and local agronomy — factors that ARCORA cannot fully account for
  • Treatment product recommendations are illustrative only; always follow product label instructions, local pesticide regulations, and advice from a licensed agronomist
  • Any crop loss, yield reduction, financial loss, or damage to land, livestock, or human health arising from reliance on ARCORA outputs is solely your risk and responsibility

6. Intellectual Property

6.1 Truffaire's IP

The ARCORAplatform, its underlying technology, AI models, diagnostic algorithms, disease registry, software code, design, trademarks ("ARCORA", "Truffaire"), and all content generated by the Service (excluding your input data) are the exclusive intellectual property of Truffaire Private Limited and are protected by Indian copyright law, trademark law, and applicable international conventions. Nothing in these Terms transfers any intellectual property right to you.

6.2 Your Data and Content

You retain ownership of the crop images and agronomic data you upload. By uploading data to the Service, you grant Truffaire a limited, worldwide, royalty-free licence to process, store, and use that data solely for the purpose of providing the Service to you and, in anonymised and aggregated form, for improving the diagnostic accuracy of the platform.

6.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by Truffaire without restriction or compensation to you.

7. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

8. Credits, Payments, and Refund Policy

8.1 Credit System

Access to diagnostic scans is governed by a credit system. One credit equals one completed diagnosis session. Credits are allocated per plan and billing cycle as follows:

  • Scout: 15 credits/month or 180 credits/year
  • Cooperative: 100 credits/month or 1,200 credits/year
  • Alliance: 300 credits/month or 3,600 credits/year
  • Enterprise: custom volume per contract

8.2 Credit Expiry and Rollover

  • Monthly plan credits expire 30 days from the date of purchase
  • Annual plan credits carry forward month-to-month up to a plan-specific rollover maximum
  • Expired credits are forfeited and are not refundable

8.3 Payments

All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Payments are processed securely by Razorpay. By completing a payment, you authorise us to charge the amount specified for the plan selected. You are responsible for any applicable taxes in your jurisdiction.

8.4 No Refund Policy

ALL PURCHASES ARE FINAL. NO REFUNDS ARE ISSUED ONCE PAYMENT IS PROCESSED, REGARDLESS OF WHETHER CREDITS HAVE BEEN USED. THIS INCLUDES CASES WHERE A DIAGNOSIS RESULT IS UNSATISFACTORY, WHERE THE USER HAS CHANGED THEIR MIND, OR WHERE CREDITS EXPIRE UNUSED.

The sole exception is a technical failure attributable entirely to Truffaire that prevents a purchased credit from being applied — in such cases, we will restore the affected credit at our sole discretion. Refund requests under this exception must be submitted within 7 days of the incident to one@truffaire.in.

8.5 Pricing Changes

Truffaire reserves the right to change plan pricing at any time. Price changes will not affect credits already purchased. We will provide reasonable notice of price changes for active subscribers.

9. Third-Party Services

The Service integrates with third-party providers including Razorpay (payments), Clerk (authentication), Convex (database), OpenAI (AI inference), and Vercel (hosting). Your use of these integrations is subject to the respective third party's terms of service and privacy policy. Truffaire is not responsible for the availability, accuracy, or conduct of any third-party service.

The Service may contain links to external websites. Truffaire does not endorse and is not responsible for the content, privacy practices, or reliability of any external site.

10. Service Availability and Modifications

Truffaire provides the Service on an "as available" basis. We do not guarantee uninterrupted, error-free access to the platform. The Service may be temporarily unavailable due to maintenance, upgrades, third-party outages, or circumstances beyond our control. Truffaire is not liable for any loss or inconvenience caused by Service downtime.

We reserve the right to add, modify, or remove features of the Service at any time without prior notice. We may discontinue the Service entirely with 30 days' notice to registered users, in which case unused credits will be refunded on a pro-rata basis at our sole discretion.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI OUTPUTS, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.

TRUFFAIRE DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) AI-GENERATED DIAGNOSES WILL BE ACCURATE, COMPLETE, OR CURRENT; (C) THE SERVICE WILL BE FREE FROM ERRORS, BUGS, OR SECURITY VULNERABILITIES; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

12. Limitation of Liability

THIS SECTION LIMITS TRUFFAIRE'S LIABILITY. PLEASE READ IT CAREFULLY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW:

  • TRUFFAIRE, ITS DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR RELIANCE ON ARCORA OUTPUTS — INCLUDING BUT NOT LIMITED TO CROP LOSS, YIELD REDUCTION, INCOME LOSS, FINANCIAL LOSS, DAMAGE TO LAND OR LIVESTOCK, OR LOSS OF LIVELIHOOD
  • TRUFFAIRE'S TOTAL AGGREGATE LIABILITY FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRUFFAIRE IN THE 3 MONTHS IMMEDIATELY PRECEDING THE CLAIM
  • TRUFFAIRE IS NOT LIABLE FOR ANY LOSS ARISING FROM: (A) YOUR FAILURE TO SEEK QUALIFIED AGRONOMIC ADVICE BEFORE ACTING ON A DIAGNOSIS; (B) INACCURATE INPUT DATA (WRONG CROP, MISLABELLED PLANT PART, POOR IMAGE QUALITY); (C) ACTIONS TAKEN BY THIRD-PARTY SERVICE PROVIDERS; OR (D) FORCE MAJEURE EVENTS

Some jurisdictions do not allow the exclusion of certain implied warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Truffaire Private Limited, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Service
  • Any crop management decision you make based on or informed by ARCORA outputs
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party right, including intellectual property rights
  • Any data you submit to the Service that infringes third-party rights or contains inaccurate information

14. Suspension and Termination

14.1 Termination by You

You may close your account at any time by contacting us at one@truffaire.in. Upon account closure, your access to the Service terminates immediately. Unused credits are forfeited without refund unless termination is caused by our material breach of these Terms.

14.2 Termination by Truffaire

We may immediately suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent activity, or created a risk to the security or integrity of the platform. Upon termination for cause, unused credits are forfeited without refund.

14.3 Effect of Termination

Sections 5 (AI Disclaimer), 6 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive termination of these Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019 where applicable, without regard to conflict of law principles.

15.2 Jurisdiction

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in Bengaluru.

15.3 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute by contacting us at one@truffaire.in with a written description of the issue. We will make a good-faith effort to resolve the matter within 30 days.

15.4 Arbitration (Optional Fast Track)

Either party may elect to resolve disputes through binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in English in Bengaluru, India. The decision of the arbitrator shall be final and binding on both parties.

16. Force Majeure

Truffaire shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, government action, power failure, internet infrastructure failure, or third-party service provider outages.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Truffaire regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

17.3 No Waiver

Truffaire's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Truffaire may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

17.5 Language

These Terms are written in English. In the event of any conflict between an English version and a translation, the English version shall prevail.
